The deal expands the Group’s portfolio of AI solutions and opens direct access to the European Union’s funding ecosystem.

Qualco Group acquires a 50.1% stake in Multiverse S.A., one of Europe’s leading platforms in financing and innovation advisory services, thereby broadening its portfolio of technology solutions and its footprint in the European market. The deal reinforces the Group’s international growth strategy, aimed at harnessing advanced technologies and gaining access to new ecosystems and markets.

The transaction brings into Qualco Group a bespoke suite of technology advisory services already proven across the European innovation ecosystem. The Group is integrating dedicated artificial intelligence platforms and tools for applications in risk assessment, scientific impact analysis, and the management of public-private partnerships across sectors such as Health, Energy, Transport, the Environment, and Defence, while also serving as a pan-European testing ground (“innovation sandbox”) for new products.

In addition, the acquisition opens a further direct channel to the European funding ecosystem, encompassing more than €300 billion in resources under European innovation programmes, including a dedicated programme of approximately €20 billion for artificial intelligence, fintech and data analytics technologies. At the same time, it strengthens the Group’s existing commercial distribution network in the Baltic region.

The acquisition is structured through the purchase of existing shares for an upfront consideration of €0.9 million, with up to €1.35 million in additional consideration linked to performance (earn-outs), and the Group will contribute a further €0.15 million through a share capital increase to support the company’s ongoing development.

Strong Performance in Europe and Strategic International Growth

The deal forms part of Qualco Group’s strategy to strengthen its presence in the technology markets of Europe and the Middle East. Through targeted initiatives that reinforce the competitive advantage of its product solutions and leverage the synergies across its activities, the Group is expanding its technological capabilities and creating new opportunities.
This growth trajectory has also been reflected in the strong commercial performance of the first half of 2026. New institutional clients with a broad European presence were added, adopting the Group’s advanced fintech solutions and platforms. At the same time, operations were consolidated across several European countries, broadening the Group’s capabilities in cybersecurity and digital transformation.

These steps confirm the Group’s commitment to creating long-term value for its shareholders, following a year in which Qualco surpassed its IPO guidance, recording a 17% increase in revenue to €216 million in 2025, with Adjusted EBITDA of €43 million and a margin of 20%. At the same time, they lay the foundations for the Group’s strategic ambition to accelerate its growth, more than double its pre-IPO revenue by 2028 and generate over 40% of its revenue from international markets.
